These Terms of Service (“Terms”) govern access to and use of the Black Harbor BD website, including its pages, forms, photographs, renderings, project information, and other online content.

These Terms govern use of this website only. Website content, project descriptions, photographs, renderings, design concepts, estimates, schedules, and other information are provided for general informational purposes. Use of this website does not create a construction contract, design agreement, professional-services relationship, financing commitment, or other contractual relationship with Black Harbor BD. A binding client relationship is created only through the applicable written agreement signed by the parties.
Construction services are governed by a separate written construction agreement. That agreement controls matters including, as applicable:
Scope of work
Contract price
Payment terms
Schedule
Allowances
Change orders
Responsibilities of the parties
Insurance
Warranties
Completion
Dispute procedures
If a construction agreement conflicts with these website Terms regarding the contracted work, the construction agreement controls.
Design-related work may involve architects, engineers, interior designers, landscape architects, consultants, and other qualified professionals. Black Harbor BD may coordinate these professionals, including the client's existing design team or qualified outside professionals selected for a project. Unless expressly stated in a separate written agreement, these Terms do not constitute an architectural, engineering, interior-design, legal, surveying, or other regulated professional-services agreement. The applicable professional remains responsible for services within that professional's licensed scope.
Black Harbor BD is a construction and general contracting company and is not represented through these Terms as a mortgage lender or mortgage broker.
Where financing information, introductions, or referrals are provided, any financing is subject to the independent lender's eligibility requirements, credit review, underwriting, documentation, and approval.
Black Harbor BD does not guarantee:
Financing approval
Loan amount
Interest rate
Loan terms
Funding date
Availability of financing
Any lender or financing arrangement is governed by the lender's own agreements.
Where a financing referral or capital opportunity is handled through an affiliated or separate entity, that relationship will be identified separately.
Submitting a website inquiry, consultation request, project description, drawing, photograph, or quote request does not obligate Black Harbor BD to accept the project. Preliminary discussions, ranges, estimates, or schedules are not final contractual commitments. A project becomes binding only when the applicable written agreement has been executed and any required conditions have been satisfied.

Changes to an executed construction agreement are governed by the applicable contract and change-order procedures.
Any construction timeline published on this website is informational and may change. Schedules may be affected by permitting, inspections, weather, labor availability, material lead times, manufacturing, shipping, utility coordination, design revisions, owner decisions, change orders, or events outside the company's reasonable control. The signed construction agreement controls contractual schedule obligations.
Black Harbor BD owns or licenses the website materials it publishes. Because website materials may include content created by employees, consultants, architects, photographers, designers, clients, manufacturers, stock providers, or other third parties, no blanket ownership claim is made over every photograph, rendering, floor plan, architectural drawing, design, or gallery image. Each item is subject to the ownership, license, or usage rights applicable to that material. No website visitor may reproduce, distribute, modify, sell, publish, or commercially exploit protected materials without authorization from the applicable rights holder.
Floor plans, design concepts, architectural drawings, renderings, specifications, and other design materials may be created by Black Harbor BD, the client, architects, engineers, designers, consultants, or other third parties. Ownership and permitted use are determined by the applicable agreement, license, assignment, or other documentation. Nothing on this website transfers ownership of architectural or design materials to a website visitor.
Clients and prospective clients may submit photographs, drawings, plans, specifications, property information, concepts, documents, or other materials. By submitting materials, the sender represents that they have the authority to provide them. Black Harbor BD may use submitted materials solely for evaluating, discussing, planning, or performing the project for which they were submitted, subject to the applicable agreement. Submission does not transfer ownership of the client's intellectual property.
Clients may identify information they consider confidential, proprietary, private, or security-sensitive. Black Harbor BD will not knowingly publish confidential project information identified as such without the client's authorization, except where disclosure is required by law, legal process, insurance requirements, or another applicable obligation. Clients should not submit highly sensitive information through a public website form unless specifically requested through an appropriate secure process.
Because Black Harbor BD works with private residential properties, project privacy is treated as a separate consideration from ordinary website content. Exterior photographs, interior photographs, project plans, property location, identifying project details, or other materials that could reasonably identify a private residence should not be published as portfolio or marketing material without affirmative written client approval, except where the client has separately authorized such use in a signed agreement.

Black Harbor BD will seek to avoid publishing personally identifying information, security-sensitive information, or private household details without appropriate authorization.
A project may involve independent architects, engineers, interior designers, landscape architects, consultants, specialty contractors, suppliers, lenders, insurers, governmental authorities, or other third parties. Each party is responsible for the services, representations, licensing, work, and contractual obligations assigned to that party. The applicable project agreement determines Black Harbor BD's role and responsibility for third-party services.
Black Harbor BD attempts to keep website information current and accurate but does not guarantee that all website content will always be complete, current, error-free, or uninterrupted. Website content may be updated, corrected, removed, or changed without prior notice.
Website content does not create any warranty beyond warranties expressly provided in a signed written agreement. Where construction warranties apply, they are governed by the applicable construction contract and warranty documentation.
To the fullest extent permitted by applicable law, Black Harbor BD is not responsible for indirect, incidental, consequential, special, or similar damages arising solely from use of this website or reliance on general website information. Nothing in these Terms is intended to waive liability that cannot legally be excluded or limited.
To the extent permitted by applicable law, a user who knowingly violates these Terms or unlawfully uses website materials agrees to be responsible for resulting claims, damages, losses, or reasonable costs attributable to that violation.
These Terms shall be governed by and interpreted under the laws of the State of Rhode Island, without regard to its conflict-of-law rules.
To the extent permitted by applicable law, any dispute arising from these website Terms shall be brought in the state or federal courts located in Rhode Island, with the specific venue to be determined according to applicable law and the parties' enforceable contractual rights.
Counsel should confirm the intended county/forum before publication.
Black Harbor BD may update these Terms from time to time. The revised version becomes effective when published on the website unless a different effective date is stated. The current effective date appears at the beginning of this page.
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
These Terms constitute the agreement governing use of the website. They do not replace or modify a separate construction contract, architectural/design agreement, consulting agreement, financing agreement, or other signed project-specific agreement.
